Welcome to UnderSign Toolkit.
UnderSign Toolkit ("Service", "Platform", "Application", "we", "our", or "us") is a product owned and operated by Xcesslogic.
These Terms and Conditions ("Terms") govern your access to and use of UnderSign Toolkit, including all websites, applications, APIs, electronic signature services, document management features, and related services.
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Service.
You must:
You may not use the Service if doing so would violate laws applicable to you or your organization.
UnderSign Toolkit is an electronic signature and document workflow platform that allows users to upload documents, send documents for signature, collect electronic signatures, generate audit trails and signing certificates, manage documents and templates, use APIs for integrations and automation, and collaborate within workspace limitations.
The Service primarily supports Simple Electronic Signatures (SES) and Advanced Electronic Signatures (AES). It does not provide Qualified Electronic Signatures (QES), government-issued digital signature certificates, identity verification services, notary services, or legal advice.
The Service currently offers a free plan, which may include limitations such as maximum storage allocation, API usage credits, workspace user limits, rate limits, and feature restrictions. Current free plan limits may include up to 500 MB document storage, up to 1,000 API credits, and up to 5 workspace users. These limits may change at any time. Additional quotas, storage, API credits, or premium features may be offered through paid upgrades.
We reserve the right to enforce fair-use policies to protect platform stability. See our Fair Use Policy.
To access certain features, users must create an account. You agree to provide accurate information, maintain current information, protect account credentials, and accept responsibility for all account activity. You are responsible for any activity occurring under your account.
You retain ownership of all documents, data, and content uploaded to the Service. By uploading content, you grant us a limited license solely to store, process, deliver, and facilitate signing workflows for your documents, generate audit records, and provide platform functionality. We do not claim ownership of your content.
You are solely responsible for document content, signer authorization, legal validity of transactions, regulatory compliance, and obtaining necessary consents. Electronic signature laws vary by jurisdiction, and you are responsible for determining whether electronic signatures are legally acceptable for your specific use case.
By using the Service, you agree to conduct transactions electronically. You consent to receiving records electronically, signing documents electronically, and maintaining electronic records. You acknowledge that electronic signatures may carry the same legal effect as handwritten signatures in certain jurisdictions, that laws vary by jurisdiction, that some documents may require additional legal formalities, and that the Service does not guarantee enforceability of any signed document. Users remain responsible for ensuring legal compliance in their jurisdiction.
The Service may generate audit trails, timestamp records, signature certificates, access logs, and IP address records. These records are provided for informational and evidentiary purposes only. We do not guarantee that any audit record or certificate will satisfy legal requirements in a particular jurisdiction.
The Service may provide API access. You agree not to abuse API resources, circumvent rate limits, interfere with platform operations, or generate excessive traffic. We may limit requests, throttle traffic, suspend API access, or restrict integrations at our sole discretion.
You may not use the Service for illegal activities (violating laws, fraud, criminal activity, circumventing sanctions), harmful content (malware, viruses, spyware, ransomware, malicious code), prohibited content (child exploitation material, hate or terrorist content, harassment, defamatory material, illegal adult content), intellectual property violations (copyright or trademark infringement, unauthorized distribution), or platform abuse (account sharing, automated abuse, scraping, unauthorized security testing, reverse engineering, excessive resource consumption). Violations may result in immediate suspension or termination without notice.
We reserve the right to review reported content, remove prohibited content, suspend accounts, disable access, and cooperate with law enforcement. Content determined to violate these Terms may be removed without notice.
Documents are stored on servers located within the European Union. Deleted accounts may have associated documents retained for up to three (3) months before permanent deletion. Users may delete documents from their account subject to system limitations and backup retention processes.
Accounts inactive for six (6) months may be scheduled for removal. We will attempt to provide at least three (3) months notice prior to account removal. We are not responsible for loss of documents resulting from failure to respond to inactivity notices.
We aim to maintain high availability and reliability. Any uptime targets or performance objectives are goals only and are not contractual guarantees. The Service is provided on an "as available" basis. Maintenance, outages, upgrades, security events, and third-party failures may impact availability.
Free plan users receive support via email only. Response times are not guaranteed. Support requests may take up to 48 business hours, or longer during periods of high demand. No service level agreement (SLA) applies to free accounts.
The Service uses cookies and similar technologies for authentication, session management, remember-me functionality, security, and user preferences. By using the Service, you consent to the use of cookies necessary for platform operation. Disabling cookies may impact functionality.
All platform software, branding, interfaces, designs, workflows, documentation, and related intellectual property remain the exclusive property of Xcesslogic. These Terms do not transfer ownership of any intellectual property.
Any suggestions, ideas, recommendations, or feedback provided by users may be used by Xcesslogic without compensation or restriction.
The Service may include future integrations, APIs, or third-party services. We are not responsible for third-party services, websites, products, or content. Use of third-party services is at your own risk.
We may at any time add or remove features, change quotas, modify limits, restrict access, suspend functionality, or discontinue portions of the Service, with or without notice. The Service may be offered free of charge, modified, restricted, suspended, or discontinued at any time without prior notice.
We may suspend or terminate accounts at any time if these Terms are violated, security concerns arise, abuse is detected, or legal obligations require action. Termination may occur without prior notice.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, XCESSLOGIC DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, THAT DOCUMENTS WILL ALWAYS BE RECOVERABLE, OR THAT SIGNATURES WILL BE LEGALLY ENFORCEABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XCESSLOGIC SHALL NOT BE LIABLE FOR LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR INDIRECT, CONSEQUENTIAL, SPECIAL, OR INCIDENTAL DAMAGES. IN ALL CASES, XCESSLOGIC'S TOTAL LIABILITY SHALL NOT EXCEED USD $100. THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY.
You agree to indemnify and hold harmless Xcesslogic, its employees, contractors, affiliates, and partners from claims arising from your use of the Service, uploaded content, violation of law, violation of these Terms, or intellectual property disputes.
We shall not be liable for delays or failures resulting from events beyond our reasonable control, including natural disasters, internet outages, government actions, cyberattacks, labor disputes, and infrastructure failures.
These Terms shall be governed by and interpreted under the laws of India.
Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Xcesslogic regarding the Service.
We may update these Terms at any time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
